OUR POLICIES
HOSTING POLICY:
1.) Account Setup: We will setup your account after we have received payment and we and/or our payment partner(s) have screened all order(s), this is to prevent any case of fraud. It is your responsibility to provide us with an alternate email address which is not located at the domain(s) for which you are signing up under. 2.) Content: All services provided by us may only be used for lawful purposes. This includes, but not limited to: copyrighted material, material we judge to be threatening or obscene, pornography. Examples of unacceptable material: IRC Bots Warez Sites Pirated Software Hate sites Hack programs and archives 3.) Zero Tolerance Spam Policy: We take a zero tolerance stance against sending unsolicited e-mail, bulk emailing, and spam. "Safe lists" and "double option" will be treated as spam. Any user who sends out spam will have their account terminated without notice. We reserve the right to require changes or disable as necessary any web site, account, database, or other component that does not comply with this policy, at our sole discretion. We also reserves the right to make any such modifications, in an emergency, at our sole discretion. We reserve the right to charge a clean up fee to all holders of any account used to send any unsolicited e-mail. This cost of the clean up fee is left entirely to the discretion of Red Wire Host. All rights reserved. 4.) Payment Information: You agree to make payment in full for the services received from us, in advance of the time period during which such services are provided. You agree that services will be billed on a recurring basis, unless you notify Red Wire Host of your desire to cancel any or all services received. We reserve the right to change the monthly payment amount and any other charges at anytime. 5.) Backups and Data Loss: Use of service is at your own risk. We are not responsible for files and data residing on your account. You agree to take full responsibility for files and data transferred and to maintain all appropriate backup of files and data stored on our servers. 6.) Cancellations and Refunds: We reserve the right to cancel the account at any time for any reason. Customers may cancel at any time. There are no refunds for cancelled accounts. 7.) Resource Usage: Users may NOT initiate the following: a) Use 25% or more of system resources for longer then 90 seconds. There are numerous activities that could cause such problems; these include: CGI scripts, FTP, PHP, HTTP, etc. b) Run any type of interactive real-time chat applications that require server resources. Remotely-hosted services are fully allowed. c) Run stand-alone, unattended server-side processes at any point in time on the server. This includes any and all daemons, such as IRCD. d) Run any software that interfaces with an IRC (Internet Relay Chat) network. e) Run any gaming servers such as counter-strike, half-life, battlefield1492, etc 8.) Bandwidth Usage: You are allocated a monthly bandwidth allowance. This allowance varies depending on the hosting package you purchase. Should your account pass the allocated amount we reserve the right to suspend the account until the start of the next allocation, suspend the account until more bandwidth is purchased at an additional fee, suspend the account until you upgrade to a higher level of package, terminate the account and/or charge you an additional fee for the overages. Unused transfer in one month cannot be carried over to the next month. 9.) Price Change: We reserve the right to change prices listed on our site and the right to increase the amount of resources given to plans at any time. 10.) Indemnification: Customer agrees that it shall defend, indemnify, save and hold us harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against us, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless any liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with us; (2) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customers from Red Wire Host's server. 11.) Disclaimer: We will not be responsible for any damages your business may suffer. We make no warranties of any kind, expressed or implied for services we provide. We disclaim any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, no deliveries, wrong delivery, and any and all service interruptions caused by us and our employees. 12.) Changes to the TOS (Terms of Service): We reserve the right to revise its policies at any time without notice.
WEB DESIGN POLICY:
1.) Content: a. Client agrees to provide content for web site in a soft format whenever possible. A soft format includes text or word processing files furnished on a PC-Compatible CD, media stick or as an attachment to an e-mail message. b. Client agrees that if content is provided in hard format via a copy of a page or other hard media that requires scanning to be converted into soft format an additional charge will be charged, excluding customization or web optimization of any graphics and/or text. c. Client has the right to use the applicable trademarks, if any, of all materials provided to RedWire Host and grants RedWire Host the right to use such trademarks in connection with RedWire Host’s web site design. 2.) Authorization: a. Client is engaging RedWire Host for the specific purpose of designing an internet based web site to be published on RedWire Host’s servers. RedWire Host has a SEO (Search Engine Optimization) package that will submit the completed web design project to ALL major web search engines. 3.) Development: a. Client agrees to give RedWire Host adequate production time to develop said web site and realizes that development of web site will not start until an initial down payment is received. This payment will vary depending on extent of web site development. Although production times vary, on average production time for first draft is approximately 30 days. b. Browser Compatibility: While RedWire Host will make reasonable efforts to design a web site that is accessible by above stated browsers. RedWire Host’s warrantee does not cover AOL, text-based browsers or requested special effects, procedures or programming that RedWire Host has advised client against. 4.) Project Copyrights and Control: a. RedWire Host shall retain possession and control of the site’s pages and of all elements used in the project until the total project cost has been paid in full. b. RedWire Host and any other programming entities used by RedWire Host retain their intellectual rights and copyrights to all hypertext markup language (HTML), DHTML, Java, JavaScript, Perl, CGI, PHP, MySQL, META tags, and other scripts and/or computer programming, web site elements and original graphical design performed within the client’s web site. Upon site transfer and payment to RedWire Host in full, client will retain rights to use shipping carts, applet programs and other licenses as required to make the site fully fun. c. Client provided text will be revised and edited by RedWire Host during the course of proof reading. Ad copy production shall become the full property, with all changes and revisions, of client upon payment in full of the entire contracted project. If complete payment is not fulfilled, client shall retain rights only to such text and information as was originally provided by client. d. Client shall retain intellectual rights and copy rights to all elements created or produced by client for the production and creation of the web site, including but not limited to text, photographs and drawings. e. A visible RedWire Host logo and/or active text link to RedWire Host Professional Web Design shall appear near the bottom of every web site page designed and/or maintained by RedWire Host. f. Client will pay for and will retain ownership of domain names registered through Network Information Centers and will be responsible for their timely renewal if necessary. 5.) Termination: a. Client may terminate production of his or her web site and request a refund minus the expenses of its development from point of termination. Payment is expected in full upon termination and client will take possession of work done. RedWire Host pricing structure is as follows: static html work $80.00 per hour, script installation $110.00 per hour, database configuration $110.00 per hour, flash design $80.00 per hour. All Work has a minimum charge of 2 hours. b. All requests to cancel web site design are to be in writing, by the owner of said account, no other form of request will be accepted. 6.) Limited Liability: a. Client agrees that the use of RedWire Host’s Design Service is at the client’s risk. Neither RedWire Host, its employees, affiliates or agents; third party information provider; web hosting providers; merchants licenser’s or the like, warrant that RedWire Host’s service will not be error free; nor do they make any warranty as to the results that may be obtained from the use of the development, design or any other RedWire Host service as to the accuracy, reliability or content of any information, service or merchandise contained in or provided through the RedWire Host Design Service. b. Under no circumstances shall RedWire Host, it’s offices, agents or anyone else involved in creating, producing or distributing RedWire Host’s designed pages be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use the RedWire Host designed pages; nor that the result from omissions, interruptions, deletion of files, defects, delays in operation or transmission or any failure of performance, whether or not limited to acts of God, communication failure, web hosting service interruptions or delay, theft, destruction or unauthorized access to RedWire Host’s records, programs or services. c. Notwithstanding the above, client’s exclusive remedies for all dames, losses and causes of actions, whether in contract, including negligence or other wise, shall not exceed the aggregate dollar amount which the client paid during the term of this agreement. 7.) Lawful Purpose: a. Client may only use RedWire Host’s Design Service for lawful purpose. Transmission of any material in violation of any federal, state or local regulations is prohibited. This includes, but is not limited to, copyrighted material, material legally judged to be threatening or obscene, hurtful, hateful, pornographic, profane or material protected by trade secrets. This also includes links or any connection to such materials. 8.) Indemnification: a. Client agrees that it shall defend, indemnify, save and hold RedWire Host harmless from any and all demands, liabilities, costs and claims, including reasonable attorney fees (“liabilities”) asserted against RedWire Host, its agents, customers, servants, officers and employees, that may arise or result from any service provided, performed, agreed to be performed or any product sold by the client, its agents, employees or assigns. b. Any injury to persons or property caused by any products sold or otherwise distributed in connection with RedWire Host’s Web Design Services. c. Any material supplied by client infringing or allegedly infringing on the proprietary rights of a third party. d. Copyright infringement and any defective products, which said client sold on or through RedWire Host designed site. 9.) Responsibility: a. Client affirms by signing this contract that he or she has the authority to do so and personally accept the full and sole responsibility for all services requested within the scope of this contract, including financial responsibility. Client further affirms that there are no circumstances currently known to client for which may prevent timely payment in full of the entire amount specified in Section I, Financial Arrangements, of this contract. b. Revisions of this contract will be considered and agreed to by the client on renewal of RedWire Host services, as specified in Section I, Financial Arrangement. This agreement constitutes the entire understanding of the client and RedWire Host. Both parties, upon renewal of services, there upon agree to any changes or modifications to this contract. This agreement shall be governed and construed in accordance with the laws of the State of Maine and the federal laws as stated for the Internet.
RESELLER/AFFILIATE POLICY:
Affiliate / Reseller Program Terms and Conditions 1. Agreement to the Terms and Conditions All affiliates of RedWire Host must abide by all the terms set forth in this document and all other policies. Violation of any of these terms may result in the immediate termination of an account. Terminated accounts will NOT be paid for any pending affiliate referrals that have not been paid. Furthermore, at our discretion, we may issue stop payment on any outstanding checks to the affiliate if the account is terminated. 2. Intent of the Affiliate Program The intent of this affiliate program is to pay affiliates for referrals of 'new customers'. 3. Important Definitions A 'new customer' is a customer that has not done business with RedWire Host or RedWire Host Solutions in the past. A 'referral' is an account that signed up with RedWire Host, and have submitted a valid 'referrer ID' during the sign up process either through automated means of stored cookies, or our own database records, or manually entered by the new customer on the order form. A valid 'referrer ID' is a code assigned to an 'active' affiliate, which can be used in hyperlinks on the referrer's site or can be entered by the new customer on the sign up form during the sign up process. 4. Enrollment in the Affiliate Program RedWire Host customers may apply for inclusion in the affiliate program using the RedWire Host control panel. Applicants will be reviewed and either approved or denied by RedWire Host. RedWire Host reserves the right to refuse participation in this program to anyone for any reason. RedWire Host is not obligated to provide a reason for refusal to the program. Affiliates agree to the terms of this agreement and any other Terms and Conditions issued by RedWire Host. Once approved, the affiliate may be removed from the program at any time by RedWire Host without notice if the affiliate does not honor the intentions of this program or if the affiliate is not deemed fit to represent RedWire Host. An affiliate may be removed from the affiliate program if their web hosting account does not remain in good standing. Furthermore, payments may be credited to affiliates hosting accounts until past due balance is satisfied. 5. Referring Customers You may refer customers using graphics and links provided by RedWire Host. You may also create your own graphics or text to refer customers. Links will contain a query string value with your referrer ID. RedWire Host will use both cookies, and our own database to store the IP address of the potential customer along with the referrer's ID. When the customer signs up, we will try to retrieve the IP from our database, and/or retrieve the cookie to make sure that affiliates get credit for their referrals. 6. Compensation for Referrals RedWire Host will pay affiliates for referrals of qualified new customers as follows: The customer must be a 'new customer'. The customer's account must be paid in full. The affiliate's account must remain in good standing. We try to automatically track referrer ID's using cookies and by storing their IP address on our servers when referred by an affiliate. The customer can also insert the referrer ID on the sign up form at the time of account creation. The affiliate is responsible for making sure the new customer is associated with the referrer. New customer's accounts must remain active for a minimum of 90 days to be considered for affiliate payments. Any irregularities in account openings, account closings, or account usage may be cause for termination of an affiliate, and/or an extension in the holding period, and/or non-payment of referral fees. RedWire Host will review referred accounts each month to approve or deny for payment, and make payments for approved new customer referrals. RedWire Host may not pay for the referrals if: The referrer's ID was not associate with the new account at sign up. The account is not for a 'new customer'. The account uses a Promotional code during sign up. The referrer's account or the new account violates any of RedWire Hosts policies. The new account is bogus and created for the purpose of collecting from the affiliate program. The referrer is referring accounts exhibiting abnormal or suspicious properties indicating misuse of the affiliate program. The domain is not active on the internet, or the domain is not pointed to RedWire Host's servers. The account closes before it is approved for payment. The affiliate has referred an unusual amount of accounts that have closed in less 1 year. The account owner or representative indicates intention to use RedWire Host is only brief or temporary * RedWire Host will only pay for legitimate new customers. Any affiliate suspected of setting up accounts or colluding with others to setup illegitimate accounts will be dropped from the affiliate program and all payments will be withheld. * RedWire Host is NOT obligated to prove the abuse, nor is RedWire Host obligated to pay the affiliate under such circumstances. * Any referrals which we pay for that subsequently close their account in less than 6 months from the opening date may be cause to withhold payment for a future referral. You agree that RedWire Host may refuse payment for any referrals. 7. Form of Payments Payments will be made by Pay Pal, Hosting Credit, Check. All amounts are in US dollars. RedWire Host may change or add new payment methods at any time without notice. 8. Maintaining your payment information Affiliates may update their payment address and 'Pay To' name in the RedWire Host control panel. The affiliate is responsible for making sure the information is correct before payment is sent. If the information is not correct, you agree that RedWire Host is not responsible issuing another payment for any amounts sent to wrong person or the wrong location. 9. Disputed Transactions You agree to forward all disputed transactions to affreport@redwirehost.com for an initial appraisal. You agree RedWire Host will make all final decisions in regards to disputes regarding the validity of a referral for payment. You agree RedWire Host is not obligated to pay affiliates for referrals, and will not pay for any referrals that violate the intentions of this program. You agree RedWire Host is not obligated to explain why payments have been withheld, and in many cases could not explain, due to privacy policy obligations. 10. Account cancellation The affiliate may request in writing to have the account cancelled by issuing a Trouble Ticket from the RedWire Host control panel. The affiliate account may be terminated by RedWire Host at anytime by RedWire Host without notice. If this account is related to a web hosting account that is terminated for any reason, then the affiliate account may be terminated at the same time. Any payments due at the time of termination will be withheld, and will not be payable. The affiliate program may be terminated at any time by RedWire Host. 11. Affiliate Program Changes The Affiliate Program may be altered by RedWire Host at any time, as deemed necessary by RedWire Host. Changes will be effective immediately once posted to on RedWire Host's website. 12. Advertising and Representations It is the responsibility of the affiliate to promote RedWire Host in an honest manner. Any affiliates who make false claims as to the type of service we offer, or make any warranties or misrepresentations to prospective customers will be terminated from the program. 13. Spam Policy Please refer to spam policy. 14. Disclaimers and limitation of liability The information and services included in or available through the RedWire Host web site or sites or products related to the RedWire Host service, may include inaccuracies or typographical errors. Changes are periodically added to the information herein. The RedWire Host management may make improvements and/or changes to its service at any time. RedWire Host does not claim in any way that the web hosting services provided by them, will be uninterrupted or error-free, that defects will be corrected, or that the service or the server that makes it available, are free of viruses or other harmful components. RedWire Host does not claim in any way that the use, or the results of the use, of the services provided by them or the materials made available as part of the service will be correct, accurate, timely, or otherwise reliable. By completing the account sign up form and clicking the submit button you specifically agree that RedWire Host shall not be responsible for unauthorized access to or alteration of your transmissions or data, any material or data sent or received or not sent or received, or any transactions entered into through the services provided by them. You specifically agree that RedWire Host is not responsible or liable for any threatening, defamatory, obscene, offensive or illegal content or conduct of any other party or any infringement of another's rights, including intellectual property rights. You specifically agree that RedWire Host is not responsible for any content sent using and/or included in the services provided by them, by any third party. RedWire Host AND/OR ITS RESPECTIVE SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE SERVICE FOR ANY PURPOSE. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. RedWire Host AND/OR ITS RESPECTIVE REPRESENTATIVES HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SERVICE, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. IN NO EVENT SHALL RedWire Host AND/OR ITS REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SERVICE OR RELATED WEB SITES, WITH THE DELAY OR INABILITY TO USE THE SERVICE OR RELATED WEB SITES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SERVICE, OR OTHERWISE ARISING OUT OF THE USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF RedWire Host OR ANY OF ITS REPRESENTATIVES HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE AND ITS RELATED WEB SITES. 15. Indemnification You agree to indemnify and hold RedWire Host , its parent, subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of your use of or conduct on the services provided by them.
SPAM POLICY:
Introduction: REDWIREHOST.COM has zero tolerance for anyone using its products and services or marketing them to use Unsolicited Broadcast Email and Unsolicited Commercial Email (“UBE/UCE”), commonly known as “spam”). All spam complaints are taken seriously. Spam is an unethical form of Internet advertising and is illegal. REDWIREHOST.COM is committed to protecting valid email senders using our products and services and also marketing them by using all measures possible to eliminate spammers for the ultimate benefit of all. Definition: REDWIREHOST.COM defines spam as unsolicited email that is sent to addresses that do not affirmatively and verifiably request such material from that specific sender, including but not limited to, advertising, surveys, Contact Information pieces, third party spamming, website addresses, sales, and auctions. Many email lists obtained from third parties are culled from Internet web sites, domain registrations, and other non opt-in sources. The use of such lists is considered spam. Posting messages to Usenet or News Group groups that explicitly forbid the posting of commercial solicitations or solicitations not pertaining to their content is spam. Buying a list of emails from a third party and, individually or in bulk, emailing them is considered spam. Sending to a list of email addresses that comes to you via a chain letter or advertising is spam. Sending to recipients who have opted out in order to prevent solicitation is spam. Hiring a company to email to a list of people that did not specifically request to receive your Contact Information beforehand is considered spam. Advertising on Free For All (FFA) sites is not permitted for promoting or using any REDWIREHOST.COM products or services. Any complaints generated from advertising with FFA programs will be treated as spam. All emails regarding REDWIREHOST.COM must have an opt out feature. REDWIREHOST.COM's products contain this feature including physical address, which is required by the current spam law, but this opt out feature must also be on marketing emails, including physical address, and if a recipient opts out, they must be removed immediately. Emailing through double opt-in list providers is NOT considered spam. Double opt-in means that not only did the potential recipients request to be emailed, they verified it by approving the request a second time. Furthermore, if you use a double opt-in list, you must also obtain from the provider the IP address of the requester, the date and time they requested the first and second opt in, and the specific website address or email from which the opt in was generated. If you use a double opt-in provider, the following rules must be followed: The email addresses obtained by the third party must be strictly opt-in and follow all REDWIREHOST.COM policies regarding opt-in email list collection. The third party assembling the email list must make a clear disclosure stating that recipients' emailaddresses are provided to others. The third party must be able to provide documentation regarding the validity of the addresses in case of an unsolicited email complaint. Any messages sent to addresses obtained from a third party must contain an opt-out link and also a physical address, per the current spam law. The content of messages sent to addresses from a third party list must be consistent with the disclosure made to the recipients upon initial provision of the email address. You are fully responsible for any third party's adherence to REDWIREHOST.COM policies for lists that you obtain and use with our products and services or marketing. Any violation of REDWIREHOST.COM policies by third parties will be perceived as violations by you, and you will be subject to your account being suspended, termination, and penalty fees assessed accordingly. The Policy REDWIREHOST.COM's customers are prohibited from sending spam. REDWIREHOST.COM does not allow their products and services to be used for sending spam or marketed through spam. Email senders are required to maintain records that verify, on a case-by-case basis, that explicit affirmative permission was obtained from recipients before mailing. Records should include the date of opt in, full names, and any other data, such as phone numbers and addresses that will further validate the request for emailing is legitimate. Lack of such records can be considered, at REDWIREHOST.COM's sole discretion, proof that permission was not obtained. REDWIREHOST.COM's customers are responsible for ensuring that they abide by this policy. REDWIREHOST.COM's customers will be held responsible for all traffic sent via their REDWIREHOST.COM products or services. customers are also responsible for ensuring that they do not advertise or promote REDWIREHOST.COM through spam. REDWIREHOST.COM may charge a monetary fine of up to $10,000 or more per valid spam complaint of which REDWIREHOST.COM is notified. The account may also be terminated and the customers may lose access to all products and services without refund. If REDWIREHOST.COM receives a complaint, it will be forwarded to the customers for a response and complete resolution. If within twenty-four (24) hours, there is no response indicating complete resolution, REDWIREHOST.COM may suspend the product or service until REDWIREHOST.COM is convinced that the problem is resolved and preventative measures have been implemented to prevent the violation from recurring. If REDWIREHOST.COM receives repeated complaints indicating that a problem has not been resolved, REDWIREHOST.COM may terminate the product or service, in its sole discretion, to the customers involved in the spam complaint. REDWIREHOST.COM products and services may be used only for lawful purposes. customers may not use REDWIREHOST.COM products and services to transmit, distribute or store material (a) in violation of any applicable law, (b) in a manner that will infringe upon the copyright, trademark, trade secret or other intellectual property rights of others or the privacy, publicity or other personal rights of others, or (c) that is obscene, discriminatory, threatening, abusive, hateful or controversial. REDWIREHOST.COM performs random audits by sending emails to recipients in various lists at random times. If an audit reveals recipients with no prior knowledge of opting in, REDWIREHOST.COM will suspend the user's account until the issue is resolved and, if it is determined that the user has violated REDWIREHOST.COM's spam policy, then the user will be subject to account termination without refund. When a user learns of invalid email addresses on their lists, the email addresses must be removed immediately from the lists. The Electronic Signatures in Global and National Commerce Act (ESIGN, Pub.L. 106-229, 14 Stat. 464, enacted June 30, 2000, 15 U.S.C. ch.96) is a United States federal law passed by the U.S. Congress to facilitate the use of electronic records and signatures in interstate and foreign commerce by ensuring the validity and legal effect of contracts entered into electronically. Although every state has at least one law pertaining to electronic signatures, it is the federal law that lays out the guidelines for interstate commerce. The general intent of the ESIGN Act is spelled out in the very first section(101.a), that a contract or signature “may not be denied legal effect, validity, or enforceability solely because it is in electronic form”. This simple statement provides that electronic signatures and records are just as good as their paper equivalents, and therefore subject to the same legal scrutiny of authenticity that applies to paper documents. ESIGN Act Sec 106 definitions (2) ELECTRONIC- The term `electronic' means form; and (2) a contract relating to such transaction may not be denied legal effect, validity, or enforceability solely because an electronic signature or electronic record was used in its formation. Consumer Disclosure Section 101 of the ESIGN Act, sub-section (b), preserves the rights of individuals to NOT USE electronic signatures. Here the law provides that individuals reserve the right to use a paper signature. Sub-section (c) is in direct support of (b) by requiring a “Consumer Disclosure” that the signatory has consented to use an electronic format.[2] Section 101(c)(1)(C) states that the consumer also "consent electronically, in a manner that reasonably demonstrates that the consumer can access information in the electronic form that will be used to provide the information that is the subject of the consent" Retention of contracts and records Section 101(d) provides that if a law requires that a business retain a record of a transaction, the business satisfies the requirement by retaining an electronic record, as long as the record "accurately reflects" the substance of the contract and is "accessible" to people who are entitled to access it "in a form that is capable of being accurately reproduced for later reference, whether by transmission, printing or otherwise."
